Founded by the United Nations from Nick Fury's own past documentation, S.H.I.E.L.D. A.K.A. Supreme Headquarters, International Espionage, Law-Enforcement Division, it was created primary deal with intelligence and security to protect the nations and peoples of Earth from all threats, terrestrial or extraterrestrial. They are the bane to global terrorists such as HYDRA.
Due to the nature of the United Nations, the upper levels of leadership of the Agency is set up as corporation with a board of directors and known as the Executive Board. Identities of the Executive Board are unknown to all but the sitting President of the U.N. Security Council and the sitting president chosen as a replacement. Not even Fury knows who is on the board. It has been theorized by Fury's original documents that the Executive Board is made up of military leaders, intelligence directors, corporation leaders, and dignitaries from around the world. As a result, it has been rumored that Tony Stark is on the board.
Level 1: Executive Director
Answers to the Executive Board and runs the day-to-day operations of the agency.
Level 2: Deputy Directors
Heads up special officers and their special projects.
Level 3: Regional Directors
Almost all major cities have a S.H.I.E.L.D. base, and the day-to-day operations of the base and the associated region is overseen by the Regional Director. They also answer director to the Executive Director.
Level 4: Special Officers
These individuals operate outside of the normal structure of S.H.I.E.L.D. and are not assigned to a region or jurisdiction. They instead answer to the Special Director and are allowed more latitude and resources to complete their assigned project(s).
Level 5: Regional Officers
These individuals answer directly to the Regional Director. They oversee the field operatives, technicians or administrators assigned to them.
Level 6: Field Agents
These individuals are the entry field level position. They are the rank and field S.H.I.E.L.D. agents that are either assigned to a regional office or the helicarrier. Their actions are carefully monitored and supervised.
Level 7: Administrators
These individuals are not field operatives, but are responsible for the day-to-day operations and paper pushing.
Level 8: Technicians
These individuals oversee the maintenance and design of S.H.I.E.L.D. technology.
Level C: Contractors
These individuals are called on a case-by-case basis by S.H.I.E.L.D. for special projects and missions. They are given clearance as required for that specific project and mission, and no more. They do not have daily access to S.H.I.E.L.D. database, but can sometimes call in favors and owe one back.
United Nations Security Council passed the act creating the S.H.I.E.L.D. Agency and its ruling Executive Board.
The First Director, Rich Stoner, was very by-the-book, and after about a decade or little more was considered out-of-date. His inability to be flexible is believed to have lead to his death by HYDRA. He was then replaced with the up-to-date Nick Fury, the original think tank of S.H.I.E.L.D. within a month.
A number of special projects have been created by S.H.I.E.L.D. to handle unique situations as they occur. These programs include but are not limited to:
Captain America Project: Agent 13 is head of this project. It is a joint operations between S.H.I.E.L.D. and the United States Government to provide Captain America with technical and logistical support in acclimation of being in the 21st Century and a Super Soldier.
Psych Division: A special project that focuses on the use of technology and psychic powered individuals in roles of intelligence and counter-intelligence. Currently, they are limited to providing psych shielding of the helicarrier and two field operatives.
Due to the nature of S.H.I.E.L.D. and its ties to the U.N., the organization does not have an official mutant policy. It handles each individual by a case-by-case scenario, determined by powers and political ideology. A number of S.H.I.E.L.D. operatives are mutants.
Due to the effectiveness of S.H.I.E.L.D., at least one nation has created S.H.I.E.L.D. style agencies that operate exclusively in their borders and territories. The United States has created S.A.F.E. a.k.a. Strategic Action for Emergency.
S.H.I.E.L.D. becomes known to the public after HYDRA attacks a S.H.I.E.L.D base during daylight in New York City. There is no way to cover it.
Mandroids - Built originally by Tony Stark, but they are now built internally. They are power suits for S.H.I.E.L.D. members to assist in dealing with high level threats such as supervillains and rogue superheroes. The suit details are as follows:
Constructed of titanium alloy,
Internal air supply and life support systems,
Sensors (infrared scanners, radar/sonar),
Full-rage radio and loudspeaker,
Increase wearer's strength & stamina (not to superhuman degrees), and
Offensive Weaponry (Electrostatic beams, lasers, magnetic force "punch-blasters", "neuro-stunners", and tractor/repellor beams).
S.H.I.E.L.D. Uniform - Made from 9-ply Kevlar and beta-cloth, it is able to withstand ballistic impact up to .45 caliber bullets and fire-resistant with a kindling temperature up to 1,700 F (930 C). It can also be designed into a bulletproof suit.
Radio-Link Tie - A tie with an in-built radio-link.
Plasma Rifles - A plasma rifle that was specially built for S.H.I.E.L.D. agents by Stark Industries, but now self-produced by the organization. They are powerful and can blast through steel doors. They are not easily wielded and require a backpack for the energy cell.
Skrull Mother-Ship - Secured thanks to the assistance of the Avengers and Justice League, it typically remains cloaked by the S.W.O.R.D. moon base. It is not for people to joyride, but it does have a lot of Skrull information and technology that can be used by S.H.I.E.L.D.
General Equipment - S.H.I.E.L.D. agents as needed also have access to numerous Warsaw weaponry, jets, planes, helicopters, spy equipment, computer equipment, and more.
S.H.I.E.L.D. has a number of contracts for transportation, communications (tablets, communicators, satellites, and more), aerospace, medical, and military with a variety of companies.
Seriously? You must like Spy RP and the associated concepts to such: Nick Fury, Phil Coulson, Black Widow; James Bond; Agents of S.H.I.E.L.D.; Covert Affairs; Burn Notice; or even Chuck.
Be ordinary and spectacular at the same time. S.H.I.E.L.D. agents are for the most part normal human beings. Sure, a select few are full-on superheroes, but most of them have minor powers or are merely specialists in their field. They may be a Special Forces soldier that's the best of the best with honors. Or perhaps, the geek that built the robot that makes Stark stop and go damn. Or maybe, the delta level mutant that can pick up an object and know what the last person who was holding it was thinking. The point is you don't have to be a full on superhero to be a kick ass S.H.I.E.L.D. agent.

Super Science all around! S.H.I.E.L.D. gets all the best toys (Next to Stark). There's no need to re-invent the wheel to have something unique; when you can have something that does the same job standard issue, just cause you are an awesome super secret spy.
